How to read openinfo.uz disclosures: facts and reports

What Uzbek issuers must disclose, when, and where: annual and quarterly reports, essential facts and dividend notices, and how to read them on openinfo.uz.

Prices tell you what the market thinks. Disclosures tell you what the company has actually done: its results, its decisions, its new debts, its dividends and changes in who runs it. In Uzbekistan most of this information is published on openinfo.uz, and much of it is required by law with fixed deadlines. Knowing what must be disclosed, and when, helps you read the filings with a critical eye and notice when something is late or missing. This guide explains the main types of disclosure and how to use them.

What openinfo.uz is

openinfo.uz describes itself as the corporate disclosure portal of the National Agency of Perspective Projects of the Republic of Uzbekistan and as the single portal of corporate information (as of 26 September 2026). For each issuer it carries a profile, filed financial reports, essential facts, dividend information and securities issues. On 26 September 2026 its public data held more than 65,000 essential-fact notices.

What the law requires issuers to disclose

The Law on the securities market sets the core rules in Article 39 (lex.uz, as of 26 September 2026). An issuer, other than an issuer of government securities, discloses information in three ways:

  1. The securities prospectus, published before a public placement.
  2. Quarterly and annual reports.
  3. Notices of essential facts in its activity.

The deadlines are:

  • The annual report within two weeks after the annual general meeting of shareholders (or other highest governing body).
  • Reports for the first quarter, the first half and nine months within the month following the reporting period.
  • A notice of an essential fact within two working days from the date it occurred.

The same article says that when an issuer's securities are listed on a stock exchange, the mandatory disclosure under this article is made on the official website of the exchange, and the exchange may not charge for publishing it. For listed shares, it is therefore worth checking uzse.uz as well as openinfo.uz.

What is in the reports

The annual report must include, among other things, information on the results of the previous year, the reasons for changes in the company's officers, the balance sheet and the report on financial results for the year, a copy of the auditor's opinion, basic information on any additional securities issued, and the essential facts of the reporting year. A quarterly report must include the balance sheet and the report on financial results for the quarter.

Essential facts: the events that must be reported

The law lists the essential facts an issuer must report. They include:

  • a change of name or address, reorganisation, suspension or termination of activity;
  • decisions taken by the highest governing body, such as the general meeting of shareholders;
  • changes in the rights attached to securities;
  • changes in the company's officers;
  • arrest of property or bank accounts, or a claim against the issuer exceeding 10 percent of its assets;
  • a loan exceeding 50 percent of the charter fund or of the sum of the value of its fixed and current assets;
  • a one-off increase or decrease in the value of assets of more than 10 percent, and one-off transactions worth more than 10 percent of assets;
  • large transactions and transactions with interested parties;
  • the issue of securities, its suspension or resumption, or a decision that an issue failed or is invalid;
  • due dates for obligations to holders of its securities, and the accrual of income on securities with the start and end of payment;
  • the start of bankruptcy proceedings;
  • changes in the list of affiliated persons.

On openinfo.uz each fact appears under a named type. Types in its public data include decisions of the highest governing body, changes in the supervisory board, audit commission and executive body, transactions with affiliated persons, large transactions, loans above 50% of capital, issues of securities, accrual of income on securities, the supervisory board's recommendation on dividends, dividend payments and acquisitions of more than 20% of charter capital.

How to read a notice

  • Compare two dates. The date the event happened and the date it was disclosed. A gap of more than two working days is itself worth noticing.
  • Find the numbers. For a transaction, the amount and what share of assets it represents. For a loan, the size and the lender. For a dividend, the amount per share for each share class and the payment window.
  • Read the source document. Many notices summarise a decision. The full decision of the general meeting or the supervisory board states exactly what was approved.
  • Put it in context. A large loan is not bad by itself. Compare it with the balance sheet: what it is for, how it changes the company's debt, and whether profit can cover the interest.

A simple reading routine

  1. After the annual meeting season, read each company's annual report: results, auditor's opinion, officers and the essential facts of the year.
  2. Each quarter, check the quarterly balance sheet and report on financial results against the same quarter of last year.
  3. In between, scan the company's essential facts. Decisions on dividends, share issues, large transactions and changes in management are the ones most likely to affect the share price.
  4. Keep notes with dates. When the next report arrives, you can check whether what the company announced actually showed up in its numbers.
